Partnership Agreement

Fini LLC Brand Ambassador Program Terms & Conditions:

The following terms and conditions are a legal agreement between Fini LLC and you ("ambassador"). By signing up to be an ambassador in the Fini LLC Brand Ambassador Program ("program") you agree to be bound by the following terms and conditions. Kindly read them in full before signing up.

Definitions

Agreement - The contract between you and Fini LLC when signing up to become an ambassador and joining the program

Program - The ambassador program as set out on our website and is bound by this Agreement

Ambassador - Party who agrees to the terms of this agreement

Code/Link - a discount code or link that the ambassador will receive to access resources or share with their audience

1. The Agreement

1.1. An ambassador is to provide their full legal name, valid address, e-mail address, active social media accounts, and any other requested information truthfully in order to create an ambassador account.

1.2. Fini LLC reserves the right to update and change the Terms from time to time without notice.

1.3. Any changes to the Program shall be subject to these terms.

1.4. The Program shall not be used for any illegal or unauthorized purpose.

Violation of these terms and conditions may result in suspension of your rights to be an ambassador and result in loss of discount code, program benefits, and/or removal from the Program.

2. Modification of Fini LLC Brand Ambassador Program Terms and Conditions

Fini LLC reserves the right to modify and change the terms of the agreement at any time. It is the responsibility of the ambassador to check back on the terms occasionally. In the event that the ambassador does not accept any changes, the option for the ambassador is to terminate their enrollment in the program by sending an official email to getfiniapp@gmail.com.

3. Accepted Methods of Advertising

3.1. Brand Ambassadors are permitted to use resources such as personalized links, discount codes, banners, and/or text advertisements provided by the fini Brand Ambassador Program.

3.2. Ambassadors are not permitted to promote any non-Brand Ambassador Program-related discounts and coupon codes that are found in customer newsletters, the Fini LLC website, other third-party websites, or from any source other than directly from the fini Brand Ambassador Program.

3.3. All promotions should include the offer, discount code, and link provided by the fini Brand Ambassador Program, along with any applicable expiration date.

3.4. Ambassadors must promptly remove invalid or expired codes and banners from their promotional materials.

3.5. Ambassador coupon codes and links are not permitted to be promoted on third-party websites, including coupon databases, without prior written approval from Fini LLC.

3.6. Brand Ambassadors are permitted to promote their personalized coupon codes and links on their own social media accounts only.

3.7. It is strictly forbidden for Brand Ambassadors to use Fini's trademark along with their discount codes/ links on any paid advertising channels or promotions without explicit written authorization from Fini LLC.

3.8. Sales that have been generated from improper or unauthorized promotion will result in the loss of this partnership.

3.9. Fini LLC reserves the right to take appropriate legal action against any Ambassador found to engage in fraudulent or unethical promotional activities.

3.10. From time to time, personalized discount codes may be changed or updated. Brand Ambassadors will be duly informed of their new codes, and all previous codes must be promptly removed and replaced with the new discount code in all promotional materials.

4. Copyrighted Material

The Ambassador is responsible for ensuring that product descriptions and images comply with all applicable copyright, trademark, data protection, any intellectual property right, or any other applicable law. Fini LLC will not be responsible if an ambassador uses another party's copyrighted material in violation of the law.

5. Fini LLC Obligations

Fini LLC agrees to the following obligations:

5.1. Providing the ambassador with promotional material and resources, such as links, coupon codes, banners, and any other graphic materials if any.

5.2. Processing all orders for Fini LLC mobile app subscriptions placed by the ambassador’s discount code link.

5.3. Tracking the sales generated through the ambassador’s link and all social media content via provided tags and mentions.

5.4. Fini LLC will provide payment processing, cancellations, refunds, and other related customer support for the referred customer's order.

5.5. Provide ambassador benefits in the partnership kit.

6. Ambassador Obligations

6.1. Ambassadors are requested to create one piece of unique and original content around our Self-Care Sunday events or the fini App once a month.

6.2. Content can include Instagram reels, Instagram stories or in-feed posts, TikTok videos, blog posts, YouTube videos, and podcast episode features, among other types of content.

6.3. When posting on Instagram or Tiktok, tag @getfini with the hashtag #getfiniapp for content relating to the fini App or #selfcarewithfini for content relating to our Self-Care Sunday events for tracking purposes.

6.4. When posting a blog, podcast feature, or YouTube video, please link back to our website: www.getfini.app.

6.5. Failure to follow ambassador obligations may result in ambassador content being missed and possible removal from the program.

6.6. Ambassador removal will take place if the ambassador fails to comply with the content requirements outlined in this agreement.

7. The License

7.1. Fini LLC grants to the ambassador a non-exclusive, non-transferable, revocable right to access the Fini LLC site through the link in accordance with the terms of this agreement and in connection with the promotional materials provided and authorized by Fini LLC.

7.2 Fini LLC is permitted to use ambassador content on social media, websites, and ads. Credit will always be given accordingly.

7.3. Ambassadors are not allowed to modify or change materials provided by Fini LLC in any way.

7.4. Both parties agree to not use each other's materials in any manner that is misleading, disparaging, or defaming in any way.

7.5. Inappropriate use of the provided promotional material may be cause for immediate termination of the agreement.

8. Liability

Fini LLC will not be liable to the Ambassador for the defects in the service, interruptions in the accessibility to the service, loss of data on the information handling system or viruses, loss of profits, loss caused by any third party deleting, removing, deactivating or tampering with the ambassador tracking service or other consequential loss of whether arising from neglect or breach of contract.

9. Termination

The term of the agreement starts upon Fini LLC brand ambassador program acceptance of the ambassador’s application and can be terminated by either party. This partnership can be ended with or without cause at any time, by giving the other party notice of termination in the form of an e-mail. Upon the termination of the agreement, the ambassador will remove all links to the Fini LLC website, as well as all banners and graphic images provided under the Program.
